Complete procurement of company, owner and compliance information services Complete procurement of company, owner and compliance information services
PROCUREMENT OBJECT VTT produces versatile technology and research services for both domestic and international customers, companies and the public sector. Before VTT commits to a large project or if an offer is made to a new customer, VTT always requires a background check of the customer. For this reason, VTT needs business information to support finances, sales and research. The object of the procurement is the procurement of the company, owner and compliance information services as a joint procurement. VTT needs one comprehensive service that combines global company, executive and ownership structure data, beneficial ownership data, sanction and other risk data, due diligence workflows. In addition, the service package includes CRM integration into the Salesforce/Force environment already in use at VTT based on an agreement with a third party partner, which technically works together with the aforementioned other service package. The goal of the acquisition is not to buy a separate company directory, a single sanctions-screening solution or a separate CRM subscription. JUSTIFICATION OF DIRECT PROCUREMENT Direct procurement is carried out in accordance with section 40, subsection 2, point 2 of the Procurement Act (1397/2016): due to technical reasons or reasons related to the protection of exclusive rights, only a certain supplier can carry out the procurement; an additional condition is that there are no reasonable alternative or substitute solutions and the absence of competition is not due to an artificial narrowing of the procurement conditions. The procurement cannot be divided into parts and tendered separately for the following reasons: • The same company and ownership structure data serves as the basis for both background investigation, risk assessment and CRM company data. This prevents e.g. differences in interpretation, the need for manual work and poor data quality, as well as assessment errors. • Company data, ownership structures and beneficial ownership information can be combined with sanction, watchlist, PEP and adverse media risk information. Simply checking the companys basic information is not enough if it is not possible to check the group structure, owners, beneficiaries and related risks at the same time, and this can be done in the overall service. • Workflow and documentation layers: customer screening, evaluation, escalation and follow-up can be done repeatably and consistently, which separate platforms cannot do. • With integration, company data information can be utilized in the CRM environment. • Splitting the entity would probably lead to functional compromises and a separate integration and deployment project. Consequently, no reasonable alternative or replacement solution has been identified to achieve the end result needed by VTT. • In addition, splitting the procurement into parts does not meet VTTs needs and this would cause considerable additional costs and would lead to VTT having to re-evaluate the entire system complex, which is also based on other valid agreements with third parties. • Required to use several individual products, e.g. building more CRM integrations, which would cause additional costs both through building and maintaining the integrations. Due to technical reasons or reasons related to the protection of exclusive rights, only a certain supplier can carry out the purchase. In March 2026, VTT Business Intelligence carried out a market survey using public data sources in relation to the procurement need described in this direct procurement proposal. • Based on the market survey, a clear 1:1 replacement alternative for the current set of services provided by Moodys, required by VTT, was not identified. According to the report, the players examined (eight different global and well-known players) are strong in certain parts of the whole, such as screening, onboarding, KYB orchestration or CRM enrichment, but they do not offer a similar one-platform private company and ownership intelligence combined with a compliance workflow and a customizable usage model. • Based on the market assessment, it is only possible to get a read and use license to use the service package through Moodys. Moodys Analytics has the exclusive right to sell this database service in Finland. Alternative solutions: • Splitting the whole would probably lead to functional compromises and a separate integration and deployment project. • Splitting the procurement into parts does not meet VTTs needs and this would cause considerable additional costs and lead to the fact that VTT would have to re-evaluate the entire system complex, which is also based on other valid agreements with third parties. • Required to use several individual products, e.g. building more CRM integrations, which would cause additional costs both through building and maintaining the integrations. Therefore, a reasonable alternative or replacement solution to achieve the end result needed by VTThas not been identified. Conclusion: • Based on the market survey, Moodys Analytics is the only supplier that can offer exclusivity. service package and licenses, and there are no reasonable alternative or replacement solutions, and the absence of competition is not due to an artificial narrowing of the procurement conditions. • For the reasons stated above, the acquisition is proposed to be carried out as a direct acquisition in accordance with section 40, subsection 2, clause 2 of the law from Moodys Analytics.
